1. Services & Scope
Charles Lee Sourcing provides China sourcing services including: • Supplier research and evaluation • Factory audits and verification • Sample procurement and quality control • Order management and coordination • Quality inspections We are service providers, not manufacturers or suppliers. We provide coordination and evaluation services only. Final agreements and contracts are between you and the suppliers you choose to work with.
2. Payment & Booking
Payment Terms: • All prices listed in USD • Payment required in full before service delivery • Order Management services: 50% upfront, 50% upon shipment • I accept PayPal, and bank transfers Additional Costs: • Sample costs, shipping fees, and travel expenses outside Shenzhen are billed separately • You will receive detailed quotes for additional costs before we proceed • Additional costs must be paid before we proceed with those activities Booking Process: • Services can be booked through my website booking system • Booking confirmation sent via email • Services begin after payment is received
3. Cancellation & Refunds
Cancellation Policy: • Free Consultation: Cancel anytime with no charge • Paid Services: - Full refund if cancelled 48+ hours before scheduled start - 50% refund if cancelled 24-48 hours before start - No refund if cancelled less than 24 hours before start or after work has begun Refund Conditions: • Full refund if no suitable suppliers are found (Supplier Research service) • Full refund if factory audit cannot be conducted due to our error • Refunds processed within 7-10 business days Non-Refundable: • Services already delivered • Third-party costs (samples, shipping, travel expenses) • Order Management fees after work has begun
4. Liability & Warranties
What I Provide: • Professional sourcing services with reasonable due diligence • Honest assessments based on available information • Quality inspections based on your specifications What I Am NOT Liable For: • Supplier performance, quality issues, or delivery delays • Product defects or non-compliance with regulations • Financial losses from supplier relationships • Customs issues or import restrictions • Third-party service provider errors Limitation of Liability: • My maximum liability is limited to the amount you paid for my services • I am not liable for indirect, consequential, or punitive damages No Guarantees: • I do not guarantee specific pricing, MOQ, lead times, or supplier reliability
5. Your Responsibilities
You agree to: Information Provision: • Provide accurate product specifications and requirements • Communicate clearly your needs and expectations • Respond promptly to our questions and requests • Provide necessary documentation for customs and compliance Decision Making: • Make final decisions on supplier selection • Review and approve contracts with suppliers • Ensure product compliance in your target market Payment to Suppliers: • You are responsible for all payments directly to suppliers • I do not handle payments between you and suppliers • I am not liable for supplier payment disputes
6. Confidentiality & Intellectual Property
Confidentiality: • I treat all client information as confidential • I will not share your product ideas or business information with third parties • NDA (Non-Disclosure Agreement) available upon request Your Intellectual Property: • You retain all rights to your product designs and specifications • I do not claim any ownership of your intellectual property • You are responsible for protecting your IP in China (patents, trademarks, etc.) My Materials: • Reports, evaluations, and recommendations I provide are for your use only • You may not resell or redistribute my reports to third parties
7. Communication & Support
Communication Methods: • Primary communication via email. • Response time: Within 24 hours on business days (Monday-Friday, China time GMT+8) • Emergency contact available for active projects Language: • All communication is in English • I communicate with Chinese suppliers in Mandarin on your behalf Time Zone: • I operate on China Standard Time (GMT+8) • We accommodate different time zones through email communication Quality Control & Inspections: • Inspections are visual and functional checks based on your specifications • I am not product testing laboratories • Inspection reports are advisory only • Final acceptance decision is yours
8. Disputes & Governing Law
Dispute Resolution: • I encourage direct communication to resolve any issues • If disputes arise, I will work in good faith to find a solution • Mediation is preferred before legal action Governing Law: • These terms are governed by the laws of the People's Republic of China • Disputes will be resolved in Shenzhen, Guangdong Province, China Force Majeure: • I am not liable for delays due to circumstances beyond our control including natural disasters, government actions, pandemics, supplier closures, or transportation disruptions Termination: • You may terminate ongoing services with 7 days written notice • Fees for completed work are non-refundable • I may terminate if you provide false information, request illegal activities, fail to pay, or violate these terms Changes to Terms: • I may update these terms periodically • Updated terms will be posted with revision date • Continued use constitutes acceptance of updated terms
